The Experience is redeemable only via the Live Nation UMP concierge for the following participating House of Blues clubs in the United States (subject to change): Boston, Chicago, Las Vegas, Los Angeles, Cleveland, and Houston.

The Experience is a "one time use only" reservation for you and a guest toward 1) Priority entry into a participating House of Blues music hall prior to commencement of a select concert; 2) Reserved seating to that select concert; and where applicable, 3) Access to Foundation Room during and after the concert. Foundation Room access applies only to the following House of Blues clubs: Boston, Chicago, Las Vegas, Los Angeles, Cleveland and Houston (subject to change).

Experience must be redeemed by December 1, 2010, for a select event through December 30, 2010, while supplies last.

Once Experience is issued, it cannot be exchanged for other tickets, merchandise or another Experience. Other terms and conditions may apply to tickets and venues. There may be additional service and parking fees charged for each ticket. If a show is canceled or rescheduled, this Experience can be substituted by a similar Experience of equal or greater value.

The Experience is void where prohibited by law. The Experience cannot be exchanged for cash or credit, except as required by law. No cash value or cash back. Not for sale or resale. Redemption
House of Blues Gift Cards ("Card") can be redeemed on site only at participating House of Blues clubs in the United States: New Orleans, Los Angeles, Chicago, Cleveland, Myrtle Beach, Orlando, Las Vegas, Anaheim, San Diego, Boston, Houston or Dallas; toward the purchase of eligible products. Products include eligible concert tickets, merchandise and food and non-alcoholic beverage.

Purchases are deducted from the Card balance. Any unused balance will be placed in the recipient's Card account when redeemed. If an order exceeds the amount of the Card, the balance must be paid with a credit card or other available payment method.

Limitations
Cards cannot be redeemed online. Card does not permit entry to any club’s music hall, concert performances, Foundation Room or backstage.

The Card is void where prohibited by law. The Card cannot be exchanged for cash or credit, except as required by law. No Cash Value or Cash Back. Not for sale or resale.

Lost or stolen Gift Cards
The Card is not replaceable if lost or stolen. Live Nation is not responsible for any damage or loss resulting from unauthorized use.

Expiration dates
The Card has no expiration date. However, in certain states, after a certain period of time, we may remit the cash associated with unused gift card balances to certain states pursuant to their abandoned property laws. Once we have remitted that cash to such a state, if someone tries to redeem the gift card, it may no longer be redeemed and we may direct them to that state's government instead.

Restrictions on use
The Card cannot be combined with any other Cards, gift certificates or other coupons. The Card cannot be used as a credit or debit card. Cards may not be used in connection with any marketing, advertising or promotional activities without Live Nation’s prior written approval and may not be sold other than through authorized channels. Live Nation reserves the right to limit quantities of Cards purchased by any person or entity. Live Nation reserves the right to cancel a Card if it believes that the Card was obtained through fraudulent or unauthorized means. No credit card, credit line, overdraft protection or deposit account is associated with your Card.

Reloadable
You can "reload" your Card at applicable House of Blues clubs.

Unused or insufficient balance
If the Card holder's purchase exceeds the amount of that Card's balance, the Card holder must pay the difference by another means. Unused Card balances are not transferable.

Billing errors
Live Nation reserves the right to correct the balance of the Card if Live Nation believes that a billing error has occurred. Live Nation disclaims all liability for any such billing errors.

House of Blues Foundation Room is a private club for professional and personal entertaining owned by HOB Entertainment, Inc., a Live Nation Worldwide, Inc. company (“Live Nation”) and is subject to the following terms and conditions (“Terms”). The terms “you” or “your” mean the person to whom the membership (“Membership”) was issued or given. Your purchase or redemption of the Membership constitutes acceptance of and agreement with these Terms. Other terms and conditions may apply to tickets, venues and the Live Nation website. Specifically, without limitation, access to and use of products offered through the Membership are subject to acceptance of the Live Nation website Terms of Use found at http://www.houseofblues.com/support/termsofuse/.

Foundation Room Standard Membership guarantees access to every House of Blues Foundation Room, currently located in Atlantic City, Boston, Chicago, Cleveland, Dallas, Houston, Las Vegas, Los Angeles and New Orleans (subject to change). Every Foundation Room membership is accompanied by the services of a Foundation Room Concierge, exclusive ticketing privileges and advance notification of House of Blues shows, special events expressly designed for members and House of Blues venue benefits that may include preferred parking, preferred seating in the House of Blues restaurants, limited complimentary world-famous Sunday Gospel Brunch® tickets, House of Blues Company Store® discounts and other membership perks.

Member Benefits and Privileges

Foundation Room Membership Card Your personalized, non-transferable card grants you access to the benefits and privileges of the Foundation Room Standard membership at House of Blues, located in Atlantic City, Boston, Chicago, Cleveland, Dallas, Houston, Las Vegas, Los Angeles, and New Orleans. For more information please contact your Foundation Room Concierge.

Member and Guest Privileges As a member, you and up to three (3) guests are welcome in any Foundation Room, subject to capacity. Please note, subject to space availability, advance arrangements for larger groups can be made through your Foundation Room Concierge.

Private Entrance Members and their guests may enter and leave via an exclusive Foundation Room entrance.

Concert Ticket Availability Members are given advance notification via email of all upcoming House of Blues concerts and events prior to the release of this information to the general public. Please note tickets are available on first come, first served basis and quantities are limited.

Foundation Room Concierge The ultimate goal is to provide each Foundation Room member with exceptional personalized service. Your local Foundation Room Concierge will do just that. The concierge office is open Monday through Friday, as well as limited hours on weekends and holidays. Hours vary by location. Call for assistance with:

• Dining reservations in the Foundation Room, Gospel Brunch reservations, and the purchase of House of Blues show tickets
• Special occasion requests such as cakes, flowers, or other dining amenities (based on availability).
• Restaurant reservations at many wonderful local restaurants when you visit other Foundation Room locations. In all of our cities, we have reciprocal relationships that allow us limited access to other restaurants, premiere events and venues.
• Arranging an extra special evening in the Foundation Room.

Priority Concert/Special Event Seating Arrangements can be made whenever possible and on a first come, first served basis, through your local Foundation Room Concierge.

Sunday Gospel Brunch® Each Foundation Room membership entitles you to four (4) complimentary Gospel Brunch tickets. You may book these and additional tickets through your Foundation Room Concierge. Gospel Brunch tickets are subject to availability and blackout dates that may include holidays and special events.

Priority Seating in the House of Blues Restaurant For parties of up to eight people, present your Foundation Room membership card to the host in our main restaurant and be seated at the next available table.

House of Blues Company Store Discounts Present your Foundation Room membership card at any House of Blues Company Store to receive a 15% discount (excludes art, DVD’s, guitars, music, book purchases and discounted merchandise).

Foundation Room Member Events On a regular basis, we present events specifically for our members. For example, the Foundation Room has hosted some of the country’s best-known and innovative chefs for gourmet dinners; winemaker seminars and wine pairings; holiday events, as well as live music in the lounge.

Foundation Room Communication Members receive emails regarding Foundation Room events, concert information, and other items of interest from the House of Blues organization. You may also visit www.hob/com/clubvenues/foundationroom for information on Foundation Room activities and performances in all our venues across the country.

Foundation Room Hours of Operation Hours of operation vary for each Foundation Room. The Foundation Room is available to members for private events; contact your concierge to make arrangements. Please note Management reserves the right to close the Foundation Room to accommodate private functions.

Etiquette, Rules, and Regulations Agreement To begin your Foundation Room Standard Membership, you will be required to sign the Foundation Room Membership Application. Upon signing, the following document constitutes an agreement, enabling all to equally and fully enjoy the benefits of membership:

Membership Cost Members agree to pay the annual cost set forth for the use of the Foundation Room, in accordance with the etiquette, rules, and regulations set forth in this agreement. Membership prices are subject to change.

Access to the Foundation Room On occasion, the Foundation Room may be closed to members for private functions for all or part of a day or evening. Our best effort will be made to give you as much advance notice as possible. Standard Foundation Room members are allotted up to three (3) guests which they may bring with them on a nightly basis. Dinner reservations are the exception. The size of your dinner party will be the number of guests accepted for access that evening. Please call ahead to inquire if there will adequate capacity for your dining party. House of Blues retains the right to control access to any or all parts of the Foundation Room.

Use of Membership Cards Membership cards are issued to individuals directly and are expressly for their use. All cards are nontransferable. Members must have their membership cards in hand to gain access to the Foundation Room. The use of your card by any other person is prohibited by this agreement. Misused cards will be confiscated. All replacement cards will be reissued at a cost to members of $50 per card.

Dress Code The Foundation Room dress code is business casual. Jeans can be worn, but must not be torn, faded, or oversized and should be worn with a collared shirt or blazer. T-shirts, sweatshirts, tennis shoes, sandals, baseball hats, tank tops, short and torn clothing is not allowed. The Foundation Room Manager reserves the right to consult with you on appropriateness of attire. When traveling to other Foundation Rooms, please ask your Concierge for the local dress code guidelines, as they may vary slightly or reflecting what is appropriate in each city. From time to time, you may see celebrities and touring talent outside the dress code. These are rare instances and exceptions will be judicious.

Smoking Smoking is subject to city and state laws. Smoking of cigarettes, pipes and cigars is allowed in the lounge and the private dining rooms where it is permitted by law. Smoking is not permitted in the main dining room.

Liability for Personal Belongings The House of Blues does not accept responsibility for any personal items lost, stolen, damaged, or misplaced in the venue.

Guest Privileges Standard Foundation Room members must accompany their guests. Some black out periods may exist at various times in various cities. Special arrangements for larger groups may be made, subject to availability and other restrictions.

Etiquette In order to maintain an environment that is enjoyable, House of Blues reserves the right to ask a member or his/her guest(s) to leave the Foundation Room if: • Their behavior, language, or clothing is deemed inappropriate;

• Their actions or conduct interfere with the enjoyment of other Foundation Room Members and their guests;
• They bring into House of Blues any alcoholic or intoxicating beverage, any illegal drug or controlled substance; or
• Their conduct or actions constitute any illegal, improper, or immoral behavior.

Additionally, minors under the age of 21 are welcome only in the Foundation Dining Room, prior to 8 P.M., subject to local laws. In consideration of all Foundation Room members, please refrain from bringing children under the age of 12.

HOB Entertainment, Inc., The International House of Blues Foundation, and any and all agents of the same, shall not be responsible for any claims or judgments for damages and the like, including costs of defending against such claims arising out of personal injury or property damage occurring in connection with the use of the Foundation Room and all its areas by members or their invitees, unless such damage was caused by the gross negligence or willful misconduct of the party claiming such right to be indemnified or held harmless.

Ticket Purchase /Availability Due to the limited capacity of our Foundation Room and reserved seating opportunities, show tickets are non-refundable and non-transferable and are limited in accordance to your membership level, with some greater availability occurring infrequently on a show-by-show basis. Show tickets are for use by members and their guests. Any misuse or re-selling of concert tickets is unacceptable. Any requests for changes in a ticket order must be done at least 48 hours before the date of the show. Name changes on ticket orders may not occur on the night of the show.

Default / Cancellation of Membership Breach of any term of this agreement by the member and/or their guests shall constitute default. Upon such an occurrence, House of Blues reserves the right to cancel or revoke a membership, without recourse. House of Blues retains the right, under such circumstances, to terminate its obligation under this agreement and shall have any and all remedies available under applicable law, including without limitation the right to eject the member and/or their guests. The member shall be liable for all reasonable attorneys’ fees and expenses incurred by House of Blues in connection with the enforcement of any of its rights or remedies hereunder. The failure by House of Blues to exercise any right or remedy hereunder shall not constitute a waiver or release thereof. In the event that a member cancels its membership prior to the end of the current membership term, no portion of the fee paid will be refunded.

Each Membership is an annual cost and a portion of the amount will support the International House of Blues Foundation (IHOBF) (Fed ID# 04-3179950), a public charitable organization exempt under section 501 (c) (3) of the Internal Revenue Service Tax Code.

A portion of the proceeds stemming from Foundation Room membership benefits the International House of Blues Foundation (IHOBF).* Established as a 501 (c) (3) non-profit public charitable organization since 1993, the IHOBF is dedicated to bringing the arts to schools and communities through programs that promote cultural understanding and expression.
