Visa/United Airlines 2008 Olympic Games Trip Sweepstakes ("Sweepstakes")

NO PURCHASE OR OBLIGATION NECESSARY TO ENTER OR WIN. NON-PURCHASE ENTRIES AND PURCHASE ENTRIES HAVE AN EQUAL CHANCE OF WINNING.

1. Eligibility: Sweepstakes is open to all legal residents of the fifty (50) United States and the District of Columbia, eighteen (18) years of age and older as of 1/15/08. Commercial card eligibility subject to employer policies regarding Sweepstakes. United Air Lines, Inc. ("United"), Chase Bank USA, N.A., ("Chase"), the International Olympic Committee ("IOC"), U.S. Olympic Committee ("USOC"), Visa U.S.A. Inc. and Visa International Service Association, their respective successors, assigns and Member financial institutions, and all of the foregoing entities' respective parent companies, subsidiaries, affiliates, prize suppliers, and advertising and promotion agencies and each of their respective agents, representatives, officers, directors, shareholders, and employees (all of the above collectively, "Releasees"), and each of their immediate family members (spouse, and parents, children, and siblings, and their respective spouses, regardless of where they live) and individuals living in the same households of each of these individuals, whether related or not, are not eligible to enter or win. Void where prohibited or restricted by law. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations.

2. To Enter: Sweepstakes begins at 12:00:01 a.m. Pacific Time ("PT") on 1/15/08 and ends at 11:59:59 p.m. PT on 3/31/08 ("Promotional Period"). During the Promotional Period, there are two (2) ways to enter: Automatic Entry and Mail-in Entry. Automatic Entry: (i) You must have a United Mileage Plus® number in order to be eligible for automatic entry. If you do not have a United Mileage Plus number, you may obtain one now by going to united.com and following the instructions provided therein. There is no charge to obtain a United Mileage Plus number; (ii) Once you have obtained a United Mileage Plus number, a) go to united.com/teamusa and follow the instructions to register your United Mileage Plus number, b) book your flight on united.com with your registered United Mileage Plus number and a Visa® card, and c) complete your flight by 3/31/08. Once registered for the Sweepstakes, you will automatically receive one (1) Sweepstakes entry for each flight booked as described above and completed by 3/31/08. In order for registration to be valid, you must check the box to accept the Official Rules. You only have to register one time during the Promotional Period. However, you must input the registered United Mileage Plus number at united.com when you book your flight to obtain the automatic entry. Only eligible flights booked as described above and paid for with a Visa card in the United States that is not in default under the customer agreement for that account and issued by a participating financial institution in the United States, and processed through Visa U.S.A. Inc.'s transaction-processing system during the Promotional Period, are eligible for automatic entry. In the event of a dispute as to who submitted a particular cardholder entry, such entry will be deemed to be submitted by the primary person in whose name the United Mileage Plus number used to enter the Sweepstakes was issued. Account adjustment transactions/returns, cash advances, balance transfers, non-U.S.-dollar purchases, Interlink ® -processed transactions, purchases authorized by entering a PIN (personal identification number), payment of late fees or over-limit fees, and Visa health and benefit cards or other transactions not specified above or flights booked with any other Visa card are excluded from automatic entry in this Sweepstakes. Visa cards or card numbers that are stolen, fraudulent, tampered with, or otherwise altered are not eligible for automatic entry and all such entries are void.

To Enter Without Purchase, Booking, Mileage Account or Other Obligation: On a 3" x 5" card hand-print your complete name, address, date of birth and day and evening telephone numbers, and the words "Visa/United Airlines 2008 Olympic Games Trip Sweepstakes" and mail in a #10 envelope with proper postage affixed to: Visa/United Airlines 2008 Olympic Games Trip Sweepstakes, P.O. Box 4091, Grand Rapids, MN 55730-4091. Entries must be postmarked by 3/31/08, and received by 4/11/08. Enter as often as you wish; however, only one (1) entry per stamped outer envelope will be accepted. No mechanical reproductions permitted. All entries become the property of the Sponsors (as defined below) and will not be returned. By entering the Sweepstakes, entrants agree to be bound by these Official Rules and the decisions of the Administrator.

3. Drawing: On or about 4/15/08, a random drawing will be conducted from all eligible entries received under the direction of the Administrator whose decisions are final and binding in all matters relating to the Sweepstakes. Limit one (1) prize per household.

4. Estimated Odds of Winning: The estimated odds of winning are 1:292,591; however, the actual odds of winning a Grand Prize depends upon the total number of eligible entries received.

5. Prizes: Four (4) Grand Prizes: A trip for two (2) people to the 2008 Olympic Games in Beijing, China from 8/17/08 to 8/21/08 including round trip air (coach) via United Airlines from a major international airport near winner's home, hotel accommodations (one standard room, double occupancy) as selected by Sponsors for five (5) days/four (4) nights, ground transportation in Beijing to/from airport and to scheduled events; Olympic event tickets for two (2) to attend six (6) scheduled Olympic Games events selected by Sponsors two (2) events per day on 8/18/08, 8/19/08 and 8/20/08); events are at discretion of Sponsors, all scheduled meals, attendance for two (2) people to one (1) optional guided tour (as determined by Sponsors), Visa U.S. Olympic Team apparel selected by Sponsors, a $500 Visa Gift Card for the winner only, and $8,280 in cash (awarded as a check) for winner only that may be used towards the payment of taxes. Approximate Retail Value ("ARV"): $26,933 each; however, actual value may vary depending upon residence of winner. Any difference in ARV and actual value will not be awarded. Total ARV is $107,732.

Prize Restrictions: Each of the Grand Prize winners and his/her guest must travel to Beijing together on the same itinerary between 8/16/08 and 8/21/08. Travel arrangements must be made through Sponsors' agent, on United Airlines. Trip must be taken on dates specified by Sponsors or prize will be forfeited and Sponsors will have no further obligation to such winner. Winners and their guests are responsible for obtaining all travel documents (including passports and visas) and travel insurance (and all other forms of insurance) they may wish to obtain (at their own expense) and hereby acknowledge that the Sponsors have not and will not obtain or provide travel insurance or any other form of insurance. Winner and guest will also be responsible for consulting their personal physician regarding any vaccinations or other inoculations that may be required and obtaining any inoculations or medical clearance required or otherwise desired before travel. Seat locations for all events will be determined by Sponsors who also reserve the right to remove or to deny entry to any winner and/or his/her guest who engages in a non-sportsmanlike or disruptive manner, or with the intent to annoy, abuse, threaten, or harass any other person at any event. Winners and their guests must comply with venue rules and regulations. Failure to do so may result in forfeiture of ticket portion of prize. All event tickets and Visa Gift Cards are subject to certain terms and conditions as specified by the IOC & USOC and issuer thereon. Visa U.S. Olympic Team Apparel will be awarded "as is" with no warranty or guarantee, either expressed or implied by Sponsors. No substitution, cash equivalent, or transfer of prize permitted except at the sole discretion of the Sponsors. Sponsors reserve the right to substitute a prize (or portion thereof) for one of comparable or greater value, at their sole discretion if the advertised prize (or portion thereof) becomes unavailable. Winners are responsible for all federal, state, and local taxes and any other costs or expenses associated with acceptance and use of prize not specified herein as being provided, including additional ground transportation, gratuities and souvenirs. In the event Sponsors are unable to provide 2008 Olympic Games event tickets (or portion thereof), no compensation or substitution will be provided in lieu thereof; however, remainder of prize will be awarded and Sponsors will have no further obligation to such winner. Certain travel restrictions may apply. All prize details are at the sole discretion of the Sponsors.

6. Notification: The potential grand prize winner will be called on the telephone by Marden-Kane Inc. on or about 4/18/08. If the potential winners are not at home when the calls are placed, Marden-Kane will endeavor to leave messages for the potential winners to call back to either accept or decline the prize. If Marden-Kane does not receive a return call within 24 hours from the time the call is placed to the potential winners, the prizes will be forfeited and awarded to an alternate winner(s). When a potential grand prize winner accepts the prize, he/she will receive written confirmation via traceable method of delivery. Potential winners will be required to sign and return an Affidavit of Eligibility/Liability Release, and where legal, a Publicity Release, and a completed IRS Form W-9 (collectively, "Winner Documents") within 7-days of the date of the notification. Forfeiture of prize and selection of an alternate winner will result from any of the following: [1] failure of a potential winner to execute and return Winner Documents in the timeframe required; [2] the return of any notification as undeliverable or [3] any other non-compliance with these Official Rules. If the prize is won by an eligible individual who is not of the legal age of majority in his/her state of residence ("minor"), the required documents must be confirmed and signed by winner's parent or legal guardian Winners' travel companions must each be of the legal age of majority in his/her state of residence (and at least 18 years of age or older), unless he/she is an immediate family member and must sign a liability/publicity release prior to issuance of travel documents or guest will not be able to accompany winner. If a minor, such release must be signed by the parent or legal guardian. By entering the Sweepstakes, entrants, or, if minors, their parent or legal guardian, agree to the use by Sponsors or their designees of their names, states and photographs/likenesses for advertising and promotional purposes for this and similar promotions, worldwide, and in perpetuity, in any and all forms of media, now known or hereafter devised without compensation except where prohibited by law. Upon request, winner agrees to consent to such in writing, where lawful.

7. Limitation of Liability: By entering the Sweepstakes, entrants, or, if minors, their parents or legal guardians, agree to release, indemnify, and hold harmless the Releasees against any injuries/losses/damages/claims/actions and any liability of any kind resulting, in whole or in part, directly or indirectly, from participation in the Sweepstakes or acceptance/possession/use/misuse/or nonuse of the prizes (or any travel/activity related thereto) awarded. Sweepstakes and Official Rules shall be interpreted in accordance with the laws of the State of California without regard to its principles of conflicts of law. Jurisdiction and venue shall be solely within the State of California. Releasees are not responsible for technical, computer, hardware or software malfunctions, lost or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions; or for mechanical, printing, typographical, human or other errors relating to or in connection with the Sweepstakes, including, without limitation, errors which may occur in connection with the administration of the Sweepstakes, the processing of entries, registrations or bookings, travel delays or cancelling, the cancellation or postponement of any Olympic event, the announcement of the prizes or in any Sweepstakes related material; or for stolen, lost, late, misdirected, damaged, incomplete, inaccurate, undelivered, delayed or illegible entries, registrations or bookings or postage-due entries or mail; or for electronic, computer, or telephonic malfunction or error, entries, registrations or bookings which fail to enter into the processing system, or are processed, reported, or transmitted late or incorrectly, or are lost for any reason including computer, telephone, or paper transfer or human or other error. Releasees are also not responsible for any incorrect or inaccurate information, whether caused by tampering, hacking, or by any equipment or programming associated with or utilized in this Sweepstakes. If in the Sponsors' opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Sweepstakes, or if computer viruses, bugs, unauthorized intervention, fraud, or technical difficulties or failures compromise, corrupt, or affect the administration, integrity, security, fairness, or proper conduct of the Sweepstakes, the Sponsors reserve the right at their sole discretion to disqualify any individual who tampers with the entry process and/or void any entries submitted fraudulently, to modify or suspend the Sweepstakes, or to terminate the Sweepstakes and conduct a random drawing and award the prizes using all eligible non-suspect entries received as of the termination date. No substitution, cash equivalent, or transfer of prize permitted except at the sole discretion of the Sponsors. Winners are responsible for all taxes and any other expenses associated with the prize, prize acceptance and use of the prize not specified herein as being awarded. Sponsors reserve the right to substitute a prize with one of comparable or greater value at their sole discretion if the advertised prize becomes unavailable. 6. Prize Award/Certain Rights: Winner notification and prizes will be shipped to the winners within 4-6 weeks following the end of the Promotional Period via USPS. By accepting a prize received, each winner is confirming that he or she is eligible to participate in the Sweepstakes and has complied with and agrees to the terms of these Official Rules. Otherwise, any prize received should be returned as instructed in the prize notification. Forfeiture of prize & selection of an alternate winner will result from any of the following: [1] the return of any notification or prize as undeliverable and [2] any other non-compliance with these Official Rules.
